1. Purpose and Scope

These Terms & Conditions ("T&C") govern the contractual relationship between Fassi Consulting LLC, a Wyoming limited liability company ("the Service Provider"), and any individual or legal entity ("the Client") purchasing IT consulting and project management services.

These T&C apply to all proposals, agreements, invoices, and services delivered by the Service Provider. They prevail over any Client purchasing conditions unless otherwise agreed in writing.

2. Services Provided

Fassi Consulting LLC provides consulting services including, but not limited to:

The exact scope for each engagement is defined in the corresponding proposal, statement of work (SOW), or service agreement.

3. Proposals, Acceptance & Orders

3.1 Proposals / Quotes

Proposals issued by the Service Provider are valid for 30 days unless otherwise indicated.

3.2 Acceptance

An engagement becomes binding only upon written acceptance of the proposal (email included) and, when applicable, payment of the required deposit.

Acceptance of a proposal constitutes full acceptance of these T&C.

4. Pricing, Currency and Payment Terms

Pricing is typically in EUR (€) for European clients.

As a Wyoming LLC, VAT is not applied, unless required in the Client's jurisdiction.

EU clients: statutory interest + €40 recovery fee

Non-EU clients: 1.5% monthly interest (or maximum allowed by law)

5. Scope Changes

Any modification of the initial scope must be documented, quoted, and approved in writing before execution.

6. Delivery of Services

Service Provider obligations

Obligation of means, not of results.

Client obligations

Provide timely access, information, documents, decisions.

Delays caused by the Client extend deadlines automatically.

7. Subcontracting

The Service Provider may subcontract portions of the work while remaining responsible for overall quality.

9. Confidentiality

Both parties maintain confidentiality for 5 years after termination.

10. Data Protection (GDPR)

For European Clients, the Service Provider complies with GDPR.

A Data Processing Agreement (DPA) may be required depending on the mission.

11. Liability

Liability is limited to the fees paid for the mission or the total of the previous 12 months (whichever is lower).

No liability for indirect damage, loss of data, loss of profits, third-party tool issues, or decisions taken against recommendations.

12. Non-Solicitation

For 12 months after the engagement, the Client shall not recruit or directly engage any consultant or subcontractor of the Service Provider.

13. Force Majeure

Delays or failure due to force majeure suspend obligations without liability.

14. Termination

15 days written notice after formal notice for serious breach.

Fees for work completed remain payable. Deposits are non-refundable.

15. Governing Law and Jurisdiction

Primary jurisdiction: State of Wyoming, USA

For EU-based Clients, the Service Provider may elect to proceed in the Client's jurisdiction.

17. Acceptance

By signing a proposal, contract, or paying an invoice, the Client confirms having read and accepted these Terms and Conditions without reservation.
